Description: In April of 2022, Wisconsin passed Act 258, a new business entity law that modernized the state’s business entity statutes, to harmonize each business entity statute with the others, and to make Wisconsin a more attractive state to do business. The Act went into effect on January 1, 2023 and these changes impact all business entities in the state -  in particular limited liability companies (LLCs) and their members as over 90% of the newly formed businesses in Wisconsin are LLCs. This presentation will address these changes and will: (1) provide a brief background on 2021 WI Act 258 and entity selection; (2) overview the high-level changes made in the Act; and (3) discuss the impact of these changes.

Facilitator Bio: Julijana Englander is a current 3L at the University of Wisconsin Law School and an incoming attorney at Neider & Boucher, S.C. After graduating from Duke University, Julijana had a range of experiences from politics, tech, and consulting including at a regulatory affairs consulting firm in New York – where her work on legislative and advocacy campaigns took her everywhere from Delaware to Lake Como.
